Terms of Service
These terms govern your use of GovernKit. We've kept them in plain language wherever the law allows. If anything is unclear, ask us before you agree.

1. The agreement
GovernKit is an AI governance platform operated by Zyref, LLC (“Zyref”, “we”, “us”). By creating an account or using GovernKit at app.governkit.ai, you agree to these terms. If you are accepting on behalf of a company, you confirm you have the authority to bind that company, and “you” means the company.
These terms incorporate our Privacy Policy and, for teams that require it, our Data Processing Addendum.
2. The service
GovernKit gives teams one place to request, approve, and track the AI tools they use: a structured request and review workflow, a shared tool directory, AI usage policies with acknowledgement tracking, automated vetting of vendors' public privacy policies and terms of service, and a chronological audit log. GovernKit records governance decisions. It does not monitor your employees' prompts, files, traffic, or screens, and nothing in these terms grants us the right to do so.
3. Accounts and teams
- You must provide a valid email address and keep your credentials secure. We strongly recommend enabling two-factor authentication.
- Teams are isolated workspaces with their own members, tools, policies, and billing. Access within a team is role-based (owner, admin, manager, member), and the team's owners and admins decide who can join and what each role can do.
- You are responsible for activity under your account, and teams are responsible for the people they invite.
- You must be at least 16 years old to use GovernKit.
4. Plans, billing, and cancellation
- Plans are billed per team through Stripe, monthly or yearly. Plans differ in included capabilities, team and tool limits, monthly AI credits, and audit-log retention. Current prices and entitlements are on our pricing page, served live from the same limits the software enforces.
- Paid subscriptions renew automatically at the end of each billing period until canceled.
- You can cancel anytime from your billing settings. Cancellation takes effect at the end of the period you've already paid for. You keep the paid features until then, and we don't charge you again.
- If a subscription ends or a payment ultimately fails, your team drops to the Free plan's limits. Your data is not deleted. Your directory, policies, and audit log remain intact and readable.
- If we change a plan's price, we'll notify you in advance and the new price applies from your next renewal.
- Taxes may be added where the law requires. Except where required by law, payments are non-refundable. If you believe we've billed you in error, contact us and we'll make it right.
5. AI features and credits
- Some features use large language models: drafting an AI usage policy from your questionnaire answers, drafting tool documentation, and analyzing vendors' public documents. These consume AI credits (1 credit = 1,000 tokens) from your plan's monthly allowance, which resets each month and does not roll over.
- AI output is a starting point, not a verdict. Vendor findings cite the vendor's own documents and are checked automatically against the source text, but you and your reviewers remain responsible for the decisions you make. GovernKit does not provide legal advice, and an AI-drafted policy is not a substitute for review by your counsel.
- Vendor analysis reflects the documents as published at the time we fetched them; vendors change their terms, and monitoring exists precisely because of that.
6. Your data
You own the content your team puts into GovernKit, including requests, decisions, policies, acknowledgements, and the resulting audit log (“Customer Data”). You grant us the limited rights needed to host, process, and display it to run the service, as described in the Privacy Policy. We do not sell Customer Data or use it for advertising, and text sent to our AI provider is not used to train their models.
7. Acceptable use
Don't use GovernKit to break the law, and don't break GovernKit. In particular, you agree not to:
- Probe, disable, or circumvent security or access controls, or access another team's data.
- Resell or white-label the service without a written agreement with us.
- Use automated means to scrape the service or overwhelm it with traffic.
- Misrepresent governance records. The audit log is only useful if it's honest.
- Use the AI features to generate content that infringes others' rights or violates our AI provider's usage policies.
8. Availability and changes
We work to keep GovernKit fast and available, but the service is provided without a guaranteed uptime level on self-serve plans. We may improve or change features over time; if we make a change that materially reduces the core functionality your plan paid for, you may cancel and we'll refund the unused portion of any prepaid period.
9. Termination
You can delete your account at any time from your account settings. The process is immediate and self-serve, as described in the Privacy Policy. Team owners and admins can export the entire workspace as a ZIP from team settings at any time, including before deleting a team. We may suspend or terminate accounts that materially breach these terms. Where practical, we'll warn you and give you a chance to fix the problem first.
10. Disclaimers
GovernKit is provided “as is” and “as available”. To the maximum extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement. GovernKit helps you run a defensible AI governance process; it does not guarantee regulatory compliance, and it is not legal advice.
11. Limitation of liability
To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages, or lost profits or revenues. Our total liability under these terms is capped at the amount you paid us in the twelve months before the claim (or one hundred US dollars, if you are on the Free plan). Nothing in these terms limits liability that cannot be limited by law.
12. Indemnity
If you use GovernKit in violation of these terms or applicable law and someone brings a claim against us because of it, you agree to defend and indemnify us against that claim.
13. Governing law and disputes
These terms are governed by the laws of the United States and the state in which Zyref, LLC is organized, without regard to conflict-of-laws rules. Before filing any claim, both parties agree to try in good faith to resolve the dispute by contacting the other party. Most issues are fixable with an email to hello@governkit.ai.
14. Changes to these terms
We may update these terms as the product evolves. For material changes, we'll notify account holders by email at least 14 days before they take effect. Continued use after the effective date means you accept the updated terms.
